1. Acceptance of Terms

By engaging with Perceptive Listening Ltd. dba The 192 Group for commercial AV services or communicating via our platforms (including text messaging), you (“Client”) agree to be bound by these Terms of Service. These terms apply to all agreements, proposals, and services provided.

2. Services Provided

We provide the following services:

  • Commercial AV system design and consultation

  • AV equipment procurement and supply

  • Installation and integration of AV systems

  • System programming and configuration

  • Maintenance, repair, and support services

All services will be detailed in a written proposal or statement of work (SOW) agreed upon prior to commencement.

3. Quotations & Pricing

All quotations are valid for 30 days unless otherwise stated. Pricing includes specified labor, materials, and equipment. Any additional work not specified in the proposal will be subject to a separate quote and client approval.

4. Payment Terms

Unless otherwise agreed in writing:

  • A deposit of 50% is due upon acceptance of the proposal.

  • 40% is due upon delivery of major equipment.

  • The final 10% is due upon project completion.

Invoices are payable within 14 days. Late payments may incur interest at 1.5% per month (18% per annum).

5. Client Responsibilities

The Client agrees to:

  • Provide access to the site as needed for installation.

  • Ensure the work area is ready and safe for installation.

  • Notify us of any site delays or schedule changes.

  • Secure any necessary permits unless otherwise agreed.

6. Changes & Delays

Client-requested changes after project commencement may result in additional charges and extended timelines. Delays caused by the Client or third parties may lead to rescheduling fees.

7. Equipment & Warranties

We pass through manufacturer warranties on all AV equipment supplied. We also provide a 12-month workmanship warranty on all installations. Warranties do not cover damage due to misuse, unauthorized modifications, or external causes.

8. Intellectual Property

All design documents, system diagrams, and programming code remain the intellectual property of Perceptive Listening Ltd. dba The 192 Group unless explicitly transferred in writing. The Client is granted a non-exclusive license to use these materials in the installed environment.

9. Limitation of Liability

To the fullest extent permitted by law, Perceptive Listening Ltd. dba The 192 Group shall not be liable for indirect, incidental, or consequential damages. Direct liability is limited to the total amount paid for the project.

10. Termination

Either party may terminate the agreement with written notice. In the event of termination:

  • The Client shall pay for all work completed to date.

  • Equipment ordered may be invoiced in full if non-returnable.

  • Deposits may be non-refundable depending on the project stage.

11. Text Messaging Terms (SMS/MMS)

By providing your mobile phone number, you consent to receive text messages from The 192 Group regarding:

  • Appointment reminders

  • Project updates

  • Service confirmations

  • Invoices or payment links

  • Promotions (only with prior opt-in)

Consent to marketing texts is not a condition of service.

Opt-In / Opt-Out

  • You may opt in by providing your number directly or via forms.

  • You may opt out at any time by replying STOP or contacting us.

  • Message and data rates may apply depending on your plan.

Message Frequency

Message frequency varies based on project status and service activity.

Data Privacy

We do not share or sell your contact details. See our Privacy Policy for more information.

12. Governing Law

These Terms shall be governed by the laws of the Province of Ontario, Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario.

13. Force Majeure

Perceptive Listening Ltd. dba The 192 Group is not liable for delays or non-performance due to causes beyond our control, including but not limited to natural disasters, supply chain issues, or labor strikes.

14. Entire Agreement

These Terms, along with any accepted proposal or written agreement, represent the entire agreement between the Client and The 192 Group, superseding any prior discussions or representations.
